UP Unsolicited Material Policy
UP does not accept or consider unsolicited ideas or materials, including without limitation, any ideas or materials for new programming, promotions, products, technologies or processes (collectively, “Submission Materials”).
Please do not send, deliver or transmit any Submission Materials to UP, whether through mail, email, the UP website(s) or UP-related websites or social media platforms (e.g., Facebook, MySpace, Twitter), or through any other means. Any and all Submission Materials that UP receives shall be deemed non-confidential and non-proprietary. You are responsible and liable for any Submission Materials and UP shall have no obligation or liability with respect thereto, including, without limitation, no obligation or liability to pay for, respond to, and/or to return any Submission Materials.
UP, ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS OR SPONSORS, NOR OUR OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, AGENTS OR OTHER REPRESENTATIVES, ARE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS, LOSS OF DATA OR LOST PROFITS), UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY TO SUBMISSION MATERIALS. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. NO COMMUNICATION OF ANY KIND BETWEEN YOU AND UP, OR A REPRESENTATIVE OF UP, CONSTITUTES A WAIVER OF ANY LIMITATIONS OF LIABILITY HEREUNDER OR CREATES ANY ADDITIONAL WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
All applicable local, state and federal laws shall apply to the foregoing terms and conditions.
